LEVER FOR CHANGE OPEN CALL RULES

Thank you for your interest in the YIELD GIVING OPEN CALL, (the “Open Call”). The Open Call is sponsored by Yield Giving (the “Open Call Sponsor”) with program and administrative support from Lever for Change and platform support provided by Submittable.The eligibility to participate in the Open Call is set forth in these Rules and the deadlines for submitting submissions are linked here and incorporated by reference herein.

By participating in the Open Call and in accordance with these rules governing the Open Call (“RULES”), you are eligible to receive various forms of recognition as provided herein and on the Website and a possible Award of USD 1 million from the Open Call Sponsor. The Open Call Sponsor or its affiliates have established multiple donor advised funds and intend to facilitate the Awards to the Awardees by recommending gifts from such donor advised funds to the Awardees. The Rules are stated here as an extension of the Terms & Conditions ("TERMS") for use of this website (“Website”) and are “Rules” as defined in the Terms for all purposes thereunder.

“You" means the person, team, or organization team using the Website, including a User, or an Entity duly organized and validly existing under state or federal law in the United States of America that is represented on the Website by a User that is a person at least 18 years of age who is the duly authorized representative of such Entity. The full TERMS are available for your review by accessing them on this website. The RULES constitute "Open Call Terms & Conditions" under Clause 2.3 of the TERMS. Capitalized words used but not defined in the RULES have meanings given to them in the TERMS.

Please read these RULES and the TERMS carefully, as they describe the conditions under which you are allowed to participate. As you participate, you may periodically be asked to recognize your acceptance of these RULES and the TERMS by clicking "accept" at various pages on this website, but by continuing any use of this website you expressly consent to all these RULES and the TERMS.

SUBMISSION OF AN ENTRY IN THE YIELD GIVING OPEN CALL CONSTITUTES FULL AND UNCONDITIONAL AGREEMENT TO AND ACCEPTANCE OF THESE RULES.

NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR TO RECEIVE AN AWARD.

1.  Eligibility

For the YIELD GIVING OPEN CALL, organizations eligible to serve as an Applicant Organization must be:

  • An entity based in the United States and/or US Territories under section 501(c)(3) and 509(a)(1) or (2) or Type I or Type II supporting organizations under section 501(a)(3) of the Internal Revenue Code (“IRC”) that has received a tax determination letter (“Tax Letter”) from the Internal Revenue Service (“IRS”) and which Tax Letter is in effect.

  • A fiscally sponsored nonprofit organization and the fiscal sponsor has a Tax Letter in effect.

  • A private operating foundation based in the United States and/or US territories under section 501(c)(3) of the IRC that has received a tax determination letter from the IRS and which Tax Letter is in effect.

  • A tribal government treated as a State pursuant to Internal Revenue Code Section 7871.

In addition, organizations eligible to serve as an Applicant Organization must be able to verify an annual operating budget of at least $1 million and no more than $5 million for at least two of the following fiscal years: 2019, 2020, 2021, 2022. At least 90% of an organization’s work must take place in the United States and/or US Territories to be eligible for this Open Call.

The Applicant Organization is a single legal entity that has the legal responsibility, authority for and control of the use of any grant funds, and must be able to exercise in fact and law direction, control, and supervision of the grant funds.

2.  Ineligible persons or entities

The following entities are not eligible to apply:

  • Individuals.

  • Government agencies, including United Nations agencies, inter-governmental bodies, and regional cooperation agencies excluding federally recognized tribal governments.

  • Educational entities such as schools, colleges, junior colleges, or universities.

  • A for-profit entity organized under the laws of a State (or Territory) in the United States.

  • Private non-operating foundations and other organizations requiring stock gifts.

  • Organizations created or located outside of the United States.

  • Organizations that have previously received an award from the Open Call Sponsor either directly or through one or more donor advised funds established by the Open Call Sponsor.

  • Local affiliates of national organizations that have previously received an award from the Open Call Sponsor either directly or through one or more donor advised funds established by the Open Call Sponsor.

Employees of the Open Call Sponsor, Lever for Change, Submittable, MacArthur Foundation and any of their subsidiaries and affiliates, and immediate family members (spouse/domestic partner, parent, child, sibling and their respective spouses/domestic partners, regardless of where they live) or persons living in the same households of such employees, are not eligible to participate either directly or indirectly in submitting an Application; any such participation will disqualify the related Application.

3.  Financial and Organizational Capacity

All applicants must demonstrate their financial and organizational capacity to carry out the work described and to appropriately manage any Award.

4.  Treatment and Use of Intellectual Property

Each application should reflect the anticipated ownership, use, and licensing of any intellectual property. You represent and warrant that your Entry is an original work created solely by You, that You own all Intellectual Property in and to the Entry, and that no other party has any right, title, claim or interest in the Entry, except as expressly identified by You to us in writing in Your application. Intellectual property rights mean copyrights, topography rights, software rights, database rights, design rights, patents, utility models, trademarks, service marks, domain names and trade secrets. You retain all right, title and interest in any inventions, software or work of authorship You invent or create. The ownership and use of intellectual property arising from this Open Call remains with You. All applications and the contents thereof shall remain with the Applicant subject to a license to be provided to the Open Call Sponsor and Lever for Change to use the information, content and data in furtherance of the Open Call, including, without limitation, among their affiliates, consultants, and partners, and on websites including the Open Call Sponsor’s website and in the Bold Solution Network.

5.  Reporting

There will be no financial or narrative reporting requirements for this gift.

6.      Other Rules

6.1 Your application must be in English.

6.2 You must complete registration to participate in the Open Call. Individuals representing an applicable organization must be 18 years of age or older at the time of entry to register and participate in the Open Call.

6.3 Your Entry should meet the application requirements stipulated on this website. You are required to register in advance of any deadlines for the submission of an Entry, and You must comply with all other deadlines posted on this website and incorporated herein by reference. Your Entry may not, in the sole discretion of Open Call Sponsor and/or Lever for Change, contain obscene, provocative, defamatory, or otherwise objectionable or inappropriate content. The Open Call Sponsor reserves the right to cancel, modify or suspend the Open Call in whole or in part without liability to You. The Open Call Sponsor and/or Lever for Change also reserve the right to disqualify You from participating because of violation of the Rules or Terms and Conditions or either determines such that disqualification is necessary and appropriate in light of the purposes of the Open Call.

6.4 By participating in the Open Call, You represent, warrant, and agree that:

a. You are the sole author, creator, and owner of the Entry;

b. the Entry is true and correct in all material respects;

c. the Entry does not and will not violate or infringe upon the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party, entity or individual;

d. the Entry does not and will not contain any harmful computer code (sometimes referred to as "malware," "viruses" or "worms"); and

e. the Entry, and Your use of the Entry, does not and will not violate any applicable laws or regulations, including, without limitation, applicable export control laws and regulations of the United States and other jurisdictions. If the Entry includes any third party works (such as third party content or open source code), You must provide the Open Call Sponsor with all appropriate licenses and releases for such third party works. In the event You cannot provide all such required licenses and releases, the Open Call Sponsor reserves the right, in the Open Call Sponsor’s sole discretion, to disqualify the applicable Entry.

6.5 You may participate by registering, but You may not register more than one true and uniform identity; multiple registrations for a participant using multiple identities are not allowed. Open Call Sponsor, Lever for Change, and/or Submittable reserve the right to disqualify any Entry made by a participant violating this limitation, regardless of whether all of the respective parties had knowledge of such violation. Each registrant may submit at most one Entry.

6.6 Upon submitting Your Entry, the Entry will be subjected to an Administrative Review, to ensure compliance with all requirements. Qualified Entries will then be distributed to other registrants during a Participatory assessment of those Entries. If Your Entry qualifies for Participatory Review, You will be required to assess at least five (5) other Entries. If You do not complete those assessments, using the tools and process described on this Website, Your participation may be terminated and Application disqualified. Based on the scores from each Participatory Review, calculated through the Scoring Process, a rank order of the Entries will be populated. Up to 1,000 of the top-scoring Entries will be eligible to advance to the next phase of review. The Open Call Sponsor will make a $500 contribution recommendation from a donor advised fund to each qualified Entry that satisfactorily completes the Participatory Review process.

6.7 Qualified Entries as determined by the Participatory Review will advance to an Evaluation Panel review. The Evaluation Panel consists of persons who are identified on this Website. Each of the qualified Entries will be assessed by five Evaluation Panel members, who will be assigned to score these Entries either randomly or after considering any potential conflicts of interest, using the scoring rubric that is described on this Website and which is incorporated by reference herein. In cases where a Reviewer indicates any potential conflict of interest, the Entry will be assigned to another Reviewer. Based on a set of Evaluation Panel review analysis, a rank order of the Entries will be populated.

6.8 Once a rank order of Entries has been populated from the Evaluation Panel review using the Scoring Process, the Open Call Sponsor will review and discuss the top Applicants and will determine any Awardees, using criteria that it will determine in its discretion and may incorporate considerations beyond the Evaluation Panel’s reviews. The Open Call Sponsor plans to make two hundred and fifty (250) gifts of US $1 million each with the precise number contingent on the quality of submissions.

If a top-ranked Applicant is unable to fully participate in the next phase of the Open Call, then it may forfeit their designation as an Awardee, and another top-ranked Applicant in the rank order of Entries may be named an Awardee in their place. Final recommendations of Awardees rests with the Open Call Sponsor in its sole discretion.

6.9 By submitting your Entry, you agree to release, discharge, and hold harmless the Open Call Sponsor, Lever for Change, Submittable, Evaluation Panel and their partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, directors and representatives from any Loss arising out of your participation in Open Call and the acceptance and use, misuse, or possession of any Award(s). Neither the Open Call Sponsor, Lever for Change, nor Submittable assume responsibility for any error, omission, interruption, deletion, defect, or delay in operation or transmission; communications line failure; theft or destruction of or unauthorized access to Open Call entries or entry forms; or alteration of entries or entry forms. Neither the Open Call Sponsor, Lever for Change, nor Submittable are responsible for any problems with or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any entry to be received on account of technical problems or traffic congestion on the Internet or any website, human errors of any kind, or any combination thereof, including any injury or damage to applicants’ or any other persons’ computers related to or resulting from participation, uploading or downloading of any materials related to this Open Call. In the event of a dispute about the identity of any Applicant, an online registration will be declared as if made by the authorized account holder of the e-mail address submitted at time of entry.

6.10 THIS OPEN CALL IS VOID WHERE PROHIBITED. Applicants agree that this Open Call shall be subject to and governed by the laws of the United States of America and the forum of any dispute shall be in the courts of the United States of America.

6.11 The Open Call sponsor reserves the right in their sole discretion to disqualify any Applicant who is found to be tampering with the entry process or the operation of the YIELD GIVING OPEN CALL, to be acting in violation of these RULES or the TERMS, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the YIELD GIVING OPEN CALL, or to annoy, abuse, threaten, or harass any other person.

6.12 Entry into the YIELD GIVING OPEN CALL does not constitute entry into any other Lever for Change competition, Submittable competition, or promotion that may be offered by the Open Call Sponsor and/or its affiliates.

6.13 Open Call Sponsor and/or Submittable reserve the right to disqualify any participant who violates these RULES, the TERMS and any standards of behavior expressed or implied in them.

6.14 The names of Finalists and Awardees will be posted on this website for such period of time as the Open Call Sponsor deems reasonable.
